By accessing or using the Emoria website (emoria.ca), our AI assistant ("The Architect"), client portal, or any other services we provide (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.

AI-generated content: The Architect is powered by artificial intelligence (including ElevenLabs for voice and OpenAI for text). All responses are generated by AI and may not always be accurate, complete, or up to date.

Not professional advice: The Architect's responses do not constitute legal, financial, technical, or professional advice. Do not rely on AI-generated content as a substitute for consultation with qualified professionals.

Conversation recording: Your interactions with The Architect (both voice and text) may be recorded and stored for up to 90 days to improve service quality. By using The Architect, you consent to this recording. See our Privacy Policy for full details.

No guarantee of availability: The Architect is provided "as is." We do not guarantee uninterrupted access, error-free operation, or specific response quality.

Limitations: The Architect is trained on Emoria's service information and general business automation knowledge. It may occasionally produce responses that are inaccurate, misleading, or irrelevant. Always verify important information independently.

4. Client Portal

Account security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.

Accurate information: You agree to provide accurate, current, and complete information when creating your account and to keep it updated.

Emoria content: All content on our website — including text, graphics, logos, design elements, code, and AI system prompts — is owned by Emoria and protected by Canadian intellectual property law. You may not reproduce, distribute, or create derivative works from our content without written permission.

Client deliverables: For paid engagements, ownership of custom-built deliverables (workflows, AI configurations, integration code) transfers to the client upon full payment, unless otherwise specified in your service agreement.

6. User Content

When you submit content through our forms, chatbot, or client portal, you grant Emoria a non-exclusive, royalty-free license to use that content for the purpose of providing our Services. This includes processing your information through our AI systems and third-party service providers.

You represent that you have the right to submit any content you provide and that it does not violate any third party's rights.

7. Booking & Payments

Consultation bookings: Booking a consultation through The Architect or our website constitutes a request for a meeting. We will send a calendar invitation and confirmation email. You may reschedule or cancel by contacting us at Sales@emoria.ca or (587) 581-2889.

Project fees: Pricing for our services is provided during the consultation process. Payment terms, project scope, and deliverable timelines are documented in a separate service agreement or statement of work before any paid work begins.

Refunds: Refund policies are outlined in individual service agreements. Consultation calls are free and carry no financial obligation.

You agree to indemnify and hold Emoria, its owner, contractors, and service providers harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third party's rights.

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. Grounds for termination include violation of these Terms, abusive behavior toward our team or AI systems, or fraudulent activity.

Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 8, 9, and 11) will remain in effect.

11. Governing Law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Calgary, Alberta.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and notify active client portal users via email. Continued use of our Services after changes constitutes acceptance of the updated Terms.
